TERMS OF SERVICE — Q-PASS IDENTITY CLEARANCE

1. ACCEPTANCE OF TERMS
─────────────────────────────────────────────────────────────────────────────
By checking the acceptance box and proceeding to use Q-Pass, you ("User")
unconditionally agree to these Terms of Service and the Privacy Policy
incorporated herein by reference. This constitutes a legally binding
electronic agreement under:

  • The Electronic Signatures in Global and National Commerce Act (ESIGN), 15 U.S.C. § 7001 et seq.
  • The Uniform Electronic Transactions Act (UETA), as adopted by applicable states.
  • Regulation (EU) No 910/2014 (eIDAS) — your acceptance constitutes a
    Simple Electronic Signature (SES) as defined in Article 3(10).
  • Any other applicable national electronic transaction laws.

Your explicit checkbox action, combined with the device fingerprint,
IP address, and timestamp recorded at the moment of acceptance, constitutes
your intent to be bound by these Terms.

2. SERVICE DESCRIPTION

Q-Pass is a centralized digital identity and authentication service operated
by the Company. It provides secure passwordless login (magic links and
WebAuthn/passkeys) for Company platforms including but not limited to
giardinodiroa.com and associated subdomains.

3. ELIGIBILITY
─────────────────────────────────────────────────────────────────────────────
You must be at least 16 years of age (or the minimum digital consent age
in your jurisdiction) to use Q-Pass. By accepting, you represent that you
meet this requirement. The Company reserves the right to terminate accounts
found to be in violation.

4. USER ACCOUNT AND IDENTITY
─────────────────────────────────────────────────────────────────────────────
4.1 You are responsible for maintaining the security of your email address
    and registered devices.
4.2 You must provide accurate registration information including legal name,
    valid email address, and a unique username.
4.3 Your account is personal and non-transferable.
4.4 You must notify us immediately at security@giardinodiroa.com of any
    unauthorized access to your account.

5. ELECTRONIC CONSENT AND RECORDKEEPING
─────────────────────────────────────────────────────────────────────────────
5.1 CONSENT RECORD: The Company records your consent at the time of
    acceptance, capturing: your email address, IP address, device
    fingerprint, browser metadata, geographic location, the exact
    SHA-256 hash of the document version you agreed to, and a
    cryptographically linked timestamp.

5.2 DOCUMENT INTEGRITY: The SHA-256 hash published alongside these Terms
    uniquely identifies this exact version of the document. Any modification
    to this document would produce a different hash, providing cryptographic
    proof of the document's content at the time of your consent.

5.3 RETENTION: Consent records are retained for a minimum of 7 years or
    for the duration required by applicable law, whichever is longer.

5.4 WITHDRAWAL: You may withdraw consent at any time by contacting
    legal@giardinodiroa.com. Withdrawal does not retroactively invalidate
    actions taken prior to withdrawal.

6. DEVICE FINGERPRINTING DISCLOSURE

For the purpose of legally attributing your consent to your specific device,
Q-Pass collects a device fingerprint at the time of login. This fingerprint
includes canvas rendering characteristics, screen parameters, browser
configuration, timezone, and hardware identifiers. This data is used
exclusively for consent attribution and fraud prevention, as disclosed in
the Privacy Policy. Collection of this data is a condition of service.

7. PROHIBITED CONDUCT
─────────────────────────────────────────────────────────────────────────────
You agree not to: (a) impersonate any person or entity; (b) use the Service
for unlawful purposes; (c) attempt to circumvent security controls; (d) use
automated means to access or interact with the Service without authorization;
(e) share session credentials or access tokens.

8. INTELLECTUAL PROPERTY
─────────────────────────────────────────────────────────────────────────────
All elements of Q-Pass, including but not limited to software, design,
trademarks, and content, are the exclusive property of the Company or its
licensors. You are granted a limited, non-exclusive, non-transferable license
to use the Service for its intended purpose.

9. LIMITATION OF LIABILITY
─────────────────────────────────────────────────────────────────────────────
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT
BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE
DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

10. GOVERNING LAW AND DISPUTE RESOLUTION
─────────────────────────────────────────────────────────────────────────────
10.1 These Terms are governed by the laws of the State of California, USA,
     without regard to conflict of law principles.
10.2 For EU residents, nothing in these Terms limits your rights under
     applicable EU consumer protection law or GDPR.
10.3 Disputes shall be resolved through binding arbitration under the
     JAMS Streamlined Arbitration Rules, except where prohibited by law.
     Class action waiver applies to the fullest extent permissible.
10.4 Notwithstanding the above, either party may seek injunctive relief
     in any court of competent jurisdiction.

11. CHANGES TO TERMS
─────────────────────────────────────────────────────────────────────────────
We may update these Terms. Material changes will be communicated by email
and/or by presenting a new acceptance prompt at next login. Continued use
after the effective date of new Terms constitutes acceptance.
